Cross-Border Industrial Acquisition

Challenge

A mid-market European manufacturer identified a strategic acquisition target in a neighbouring country to consolidate market share, but had no prior experience with cross-border transactions or the regulatory environment in the target jurisdiction.

Approach

We led the financial due diligence, coordinated local legal advisors, developed a detailed valuation model with three scenarios, and structured the deal to include earn-out provisions that protected the buyer's downside while incentivising the seller's management team to stay through integration.
